Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", the "merchant") and FoundRate ("FoundRate", "we", "us") governing your access to and use of the FoundRate application and website (the "Service"). By installing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

FoundRate measures whether AI shopping assistants recommend your products for buyer-intent searches and provides guidance intended to improve that visibility. The Service reads your product catalog (read-only) to do this. We may add, change, or remove features over time.

2. Eligibility and accounts

You must have a valid Shopify store and the authority to bind that store to these Terms. You are responsible for maintaining the security of your Shopify account and for all activity under your store's use of the Service.

3. No guarantee of results

AI recommendations depend on many factors outside our control, including the behavior, models, and policies of third-party AI providers, and the content and configuration of your own store. We do not and cannot guarantee that any AI assistant will recommend your store, or that your visibility, traffic, ranking, sales, or revenue will increase. The Service provides measurement and guidance only, and all decisions you make based on it are your own responsibility.

4. Plans, billing, and cancellation

• A free tier is available with limited features (including a one-time scan).
• Paid plans are billed exclusively through Shopify Billing at the prices displayed at the time of purchase ($49 per month or $490 per year). Shopify handles all charges, and Shopify's terms apply to billing.
• Fees are non-refundable except where required by law.
• You may cancel at any time from the app's Settings. Cancellation downgrades you to the free tier; your data is retained unless and until you uninstall the app.
• To protect the Service and manage costs, manual re-scans on paid plans are subject to fair-use limits described within the app. We may adjust these limits with notice.

5. Acceptable use

You agree not to: (a) use the Service in violation of any law or third-party rights; (b) attempt to disrupt, overload, reverse-engineer, decompile, or gain unauthorized access to the Service or its systems; (c) resell or provide the Service to third parties except as expressly permitted; or (d) use the Service in a way that violates the terms of Shopify or any AI provider. We may suspend or terminate access for violations.

6. Intellectual property

The Service, including its software, content, and branding, is owned by FoundRate and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own business while these Terms are in effect. You retain all rights to your store data; you grant us the limited license needed to operate and provide the Service to you as described in our Privacy Policy.

7. Third-party services

The Service relies on third parties, including Shopify, AI providers, hosting, and email providers. Their availability, changes, and behavior are outside our control. Your use of the Service is also subject to those third parties' terms, and we are not responsible for their acts or omissions.

8. Your data and privacy

Our handling of your data is described in our Privacy Policy, which is incorporated into and forms part of these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOUNDRATE AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50.

11. Indemnification

You agree to indemnify and hold harmless FoundRate and its owners and personnel from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, your content or store data, or your violation of these Terms or of any law or third-party right.

12. Termination

You may stop using the Service and uninstall at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination (including Sections 3, 6, 9, 10, and 11) will survive.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which FoundRate is established, without regard to conflict-of-laws principles, and you agree to the exclusive jurisdiction of the courts located there for any dispute, except where applicable law grants you the right to bring proceedings in your local courts.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
